Western Alliance Bancorporation and Western Liberty Bancorp Announce Filing of Proxy Statement/Prospectus Supplement

PHOENIX & LAS VEGAS--(BUSINESS WIRE)--

Western Alliance Bancorporation (WAL) and Western Liberty Bancorp (WLBC), referred to herein as Western Alliance and Western Liberty, announced today the filing with the Securities and Exchange Commission, or the SEC, and the mailing to Western Liberty stockholders, of a supplement to the proxy statement/prospectus provided to stockholders in connection with the proposed merger of Western Liberty and Western Alliance. The merger is to be voted on by Western Liberty stockholders at a special meeting of Western Liberty stockholders scheduled for 10:00 am on October 17, 2012 at Western Libertys headquarters in Las Vegas.

The additional disclosures supplement the disclosure contained in the proxy statement/prospectus filed by Western Liberty and Western Alliance with the SEC on September 12, 2012 and mailed to Western Liberty stockholders, and should be read in conjunction with the disclosures contained in the proxy statement/prospectus, which in turn should be read in its entirety. A copy of the supplement is attached to this press release.

The supplement has been filed in connection with a proposed settlement of a putative class action lawsuit that was filed in the District Court of the State of Nevada, Clark County, on September 21, 2012 by plaintiff David Raul against Western Alliance, Western Liberty and the directors of Western Liberty. The action alleges, among other things, that Western Libertys board of directors breached its fiduciary duties in connection with the board of directors approval of the proposed merger and that Western Alliance aided and abetted such alleged breach of fiduciary duties. The plaintiff seeks injunctive relief preventing the merger, an order rescinding the proposed merger in the event it is not enjoined, and damages as a result of the alleged actions of the defendants, including attorneys and experts fees.

The defendants believe this lawsuit is without merit but in order to avoid the costs, risks and uncertainties inherent in litigation and to allow stockholders to vote on the proposal to adopt the merger agreement at the scheduled special meeting, counsel for Western Liberty, Western Alliance and the other defendants have entered into a memorandum of understanding with plaintiffs counsel to settle the action subject to court approval. The settlement requires Western Liberty and Western Alliance to provide certain additional disclosures set forth in the supplement to the proxy statement/prospectus, but will not affect the merger consideration to be received by Western Liberty stockholders or the timing of the special meeting of the Western Liberty stockholders scheduled for October 17, 2012. If the Nevada court approves the settlement, the action will be dismissed with prejudice.

Prep football: Lessons learned for Liberty in loss at Putnam

MILWAUKIE Mercifully, the game ended and the lessons began.

The disappointed Liberty football players gathered around their coach in an end zone Friday night to listen to a postgame speech that could have doubled for a classroom discussion.

Behind them, the scoreboard flashed a final score that could not be sugarcoated: Putnam 63, Liberty 0.

In the opposite end zone, the Kingsmen players were chanting with helmets raised as their fans cheered all around them at Putnam High School. And as that celebration died down, 100 yards away, the Falcons continued to listen intently to coach Eric Mahlum.

The loss dropped Liberty to 1-5, including 1-3 in the Northwest Oregon Conference. But it was more than the defeat that Mahlum spoke about to his players afterward. It was about effort, staying together as a team and learning from this stinging feeling in the season's final three games.

"Right now, they are hurting inside," Mahlum said of his team. "They care. They've got great character. They're just hurting. They'd like to take this one and play it over. Not necessarily to change the scoreboard, but change the way we played tonight."

No matter how Liberty played Friday, it couldn't change the talent Putnam has in Deshawn Stephens. The 6-foot-1, 190-pound senior wide receiver displayed why he's being looked at closely by several colleges.

Stephens finished with a career-high six touchdowns, including four that were more than 50 yards. Stephens scored the first of the Kingsmen's nine touchdowns on a 5-yard scoring run in the first quarter.

He then put on a spectacular display in the second quarter, returning three punts for touchdowns. In a 64-second span, Stephens returned consecutive punts 75 and 55 yards for scores.

He added a 79-yard punt return in the final minute of the first half, giving Putnam a 42-0 halftime lead. Stephens took all three punts off one bounce while patiently waiting for an opening to break through.

Liberty notes: Apon makes up for miss

Josh Woodrum knew Brandon Apon needed a pick-me-up. In the second quarter of Libertys 42-35 win over Gardner-Webb on Saturday at Williams Stadium, Woodrum threaded a perfect post pass to Apon, who had beaten the safety in coverage. The ball hit Apons hands before promptly hitting the stadiums FieldTurf, erasing what surely would have been a touchdown.

Woodrum threw an interception two plays later.

Apon was understandably down.

To have a wide-open play like that and not make the play, you feel like you let your team down, Apon said. I felt like I let myself down. But I knew I had to keep my head in it. My team needed me to be a leader and not feel sorry for myself.

Woodrum, the Flames redshirt freshman quarterback, wasnt going to let that happen.

I just told him it was unlucky, but you need to catch that ball when it happens, Woodrum said. Youve just got to make plays when you have the opportunity.

It came in the final six minutes of a tied game, when Woodrum faked a handoff, rolled left and hit Apon for a 5-yard touchdown that provided the winning margin.

Just to have the blessing to be able redeem myself, it was elating, Apon said. Its an unbelievable feeling.

Apon wasnt the only Liberty player who needed to redeem a tough first half. Cornerback Walt Aikens talked with Kurt Beathard after the game, and the Gardner-Webb offensive coordinator who recruited Aikens to Illinois before Aikens transferred to LU told Aikens the Runnin Bulldogs were picking on him early.

Though Aikens didnt see a stat sheet at halftime, he knew that GWU quarterback Lucas Beatty had lit up the Flames.

Spreading the word with near-evangelical enthusiasm that healthy is the new sexy, and trying to help people in Liberty County and elsewhere to look and to feel better, Liberty native and Ardyss International Platinum President Veronica Williams-Jolivette is motivated to the point of actually giving away health and wellness products in South Liberty County.

She and local business partners Rosalinda Erevia and Richard and Annette Young aspire to hold a free-of-charge womens pampering event at a Liberty salon as well.

The daughter of Willie Lee Williams of Dayton and Bernadine Williams of Liberty, whose birthmother is Vernetta Davis of Ames, Jolivette is operating in familiar territory. She offers a line of antioxidants, energizers and digestive products as well as a body re-shaper intended, with concomitant knife and fork discipline, to take one down a couple of sizes.

Home again, she comes bearing gifts, some of them informational and some ingestible.

The main things I would say I would like to bring back to this community would be health and wellness, Jolivette said, adding that she had kin here who didnt live as long as they should have. With my family that has gone on and passed over, it was due to not having the knowledge that we need to live well.

It doesnt take Albert Einstein to know that you are what you eat. If you eat burgers all day, without cleaning out your colon, and replacing it with the right nutrients, then you are going to look like a burger. Your arteries will harden. Your blood will not flow. And, for me, I treat myself on the weekends. I love burgers. I love some of the junk. But you have to live well.

Jolivette has seen too many people not live as well as they could and should

I seem to see a lot of people, when I come back to Liberty, and I just listen; I try to be a good listener, Jolivette said. They more talk about what medications theyre on, the bad health. It seems to be an around-the-table conversation. We need to change that. And we can.

Ardyss is one way to bring change, according to Jolivette. Why not in this area?

This is my town; I love it, Jolivette said about Liberty in particular. Traveling all over the world and being with Ardyss International, Im a small-town girl. I never forgot where I came from. To come back and bury your own at a young age saddens me. All the moneys, the prizes and the different things that theyve given me, for my travel and hard work, are nothing if I cant bless somebody else. It means something to me.

Henry, Jackson run the show in Liberty's win

LIBERTY When Liberty star running back Kenny Jaycox was sidelined with a season-ending knee injury last week, Indians coach John Wilhelm only had to look across the dinner table to find a suitable replacement.

Wilhelm shifted stepson Ryan Henry from wide receiver to the backfield and the move proved to be a stroke of genius. Henry, who hadn't carried the ball all season, rushed for 200 yards on 19 carries and scored four touchdowns as the Indians stunned John S. Burke Catholic 53-19 in a Section 9 Class C contest Saturday afternoon.

"There was a lot of talk in the house about the game plan this week," Wilhelm said. "We knew when Kenny wasn't going to be able to play that kids were going to have to step up and move around. We decided to move him (Henry) into the backfield and give him some carries. It just kind of took off and we kept giving him the ball today."

Henry didn't object to the change when his coach/stepfather asked him at practice this week, even though he said they don't always agree on things.

"I think he's harder on me than anybody else," Henry said with a laugh. "But that's just my opinion. I'll do anything that needs to be done to help the team."

It was hardly a one-man show for Liberty, however. Junior quarterback Quinn Jackson rushed for 247 yards on 23 carries and scored three TDs for the Indians (4-2, 1-1 Class C Division I). Jackson also threw a touchdown pass to Henry. The pair also hooked up on a two-point conversion.

Henry scored his first touchdown on a 14-yard run and kicked the extra point for a 7-0 lead with 2:47 left in the first quarter.

Burke Catholic (2-4, 1-1 Class C Division I) cut the deficit to 7-6 on the last play of the first quarter when quarterback Robert Pezzullo found freshman wide receiver Chris Skermo with a 27-yard TD pass.

Nacua, Liberty Hold Off Coronado

Liberty's Kai Nacua did a little bit of everything on Friday night.

And when the senior launched himself toward the pylon from just inside the 5-yard line, he made sure his team finished with a homecoming victory.

Nacua's dive completed an 11-yard touchdown run with 9:38 to play that broke a 29-29 tie, and the No. 2 Patriots held on for a 35-29 win over visiting Coronado.

"It was a lead option," Nacua said. "And I saw the outside open, and I just started running at it. They tripped me up a little, and I saw the pylon and just dove into it."

The touchdown run capped an outstanding all-around game for Nacua. The Brigham Young-bound senior completed 14 of 22 passes for 223 yards, rushed for the touchdown, intercepted a pass on defense and recorded a tackle for loss.

"That's why he's a Division I football player," Liberty coach Rich Muraco said. "He makes plays. He stands out. He can do everything."

That included being named homecoming king at halftime.

"That was a cool experience," Nacua said.

Tenth-ranked Coronado (3-2, 0-1 Southeast League) stayed with Liberty (4-1, 1-0) all night thanks to a series of big plays.

Apple Maps Fixes the Statue of Liberty

Apple's promised updates to Maps in iOS 6 are starting to roll out, starting with the Statue of Liberty.

Until Friday afternoon, the Lady Liberty was a pixelated mess in Apple's new homegrown mapping app. Thanks to a server update, the statue -- and all of Liberty Island -- is now replicated in beautiful 3D.

Since releasing Apple Maps as part of iOS 6, Apple has faced criticism from its users and competitors because of the unfinished state of the 3D depictions -- as well as the uneven mapping data. Apple CEO Tim Cook apologized for the product, admitting that it "fell short" of Apple's standards.

Fixing the Statue of Liberty might not stop Apple from being the butt of industry-related jokes, but it is a sign that the product is getting better.

France's gift to America might have received a makeover, but its own iconic landmark wasn't as lucky. The Eiffel Tower in Paris remains an two-dimensional block of pixels.
