Have the Wheels Fallen Off of Reg CF Crowdfunding? – Crowdfund Insider

Crowdfunding, as allowed by Reg CF (created by Title III of the JOBS Act) was designed to improve access to capital for smaller firms in need of funding while providing new investment opportunities for smaller investors. For too many years the little guy has been boxed out from access to capital and early stage investments, so the story goes.
Oceans of money flowed into hotbeds of startup centers like Silicon Valley or Alley, but if youre not located in those epicenters, youre our of luck. Sorry. And if you were not a hotshot investor, well good luck.
Reg CF launched in May of 2016 with a decent amount of fanfare and a fair amount of optimism. Finally, the internet was going to democratize access to capital. It was about time.
But in the ensuing months, did this, in fact, occur? Good question.
Several weeks back, there was a closed meeting that involved members of the Securities and Exchange Commission (SEC), representatives from the North American Securities Administrators Association (NASAA) and other crowdfunding participants including several prominent platforms. The meeting was not open to press so (as far as I am aware) all proceedings were rather hush-hush. But several participants have spoken with representatives from Crowdfund Insider sharing a more dystopic view of the emerging Reg CF ecosystem.
One informed individual told Crowdfund Insider the sentiment was that the wheels have fallen off of Reg CF crowdfunding as the exemption has not lived up to the hype.
And why would this be? The challenges have to do with the highly prescriptive nature of Reg CF. The rules, designed to protect investors, may be doing just the opposite as very high quality firms do not want to pay the associated costs nor file all of the mandated disclosures. Using Reg D is far simpler and economical.
These litany of complaints are issues that several members of Congress have attempted to address. Most prominently, Congressman Patrick McHenry, the tenacious policymaker who has always been looking out for the little guy.
Yet time and again, his efforts to improve upon the existing Reg CF rules have been cut short, stymied by a perplexing group of malcontents and disbelievers. McHenrys office did not participate in the NASAA / SEC powwow but that should not come as a surprise. Why would you invite someone who wants to fix what is broken?
Speaking with one individual with knowledge of the event, they explained;
The general consensus was that Reg CF was totally dysfunctional. The NASAA representatives were pushing the low quality of the [crowdfunding] deals. Market participants were pointing to the compliance costs and the challenges intrinsic to Reg CF. There was disagreement as to why the exemption was not being adopted more broadly.
This individual said that NASAA was firmly entrenched with the belief that Reg CF does not exempt them from state compliance, even though that was the intent of Congress. This person said NASAA hates it.
They [NASAA] absolutely want to keep control over [securities] issuance They would love to see it go away. They are happy with the current state of affairs.
The thesis is that NASAA, a special interest group, wants issuers to use intrastate crowdfunding exemptions instead of a federal exemptions. NASAA is attempting to push Reg CF into obscurity so that companies looking to raise capital are compelled to go directly to the state. This is a question of state authority, power and money. This is a story of politics. Unfortunately the early stage company gets lost in this equation. Steamrolled by parochial politics.
Interestingly, the same individual said the SEC was more open to supporting Reg CF. Apparently, the Commission has been relieved to see that no cascade of fraud has taken place and they WANT Reg CF to be successful, recognizing the importance of capital formation for smaller firms. The SEC may even be inclined to revisit the exemption and do what they can to fix it. There was an overall willingness in the room to see crowdfunding as viable.
In NASAAs defense, the insider described NASAAs leadership as not completely indicative of member support. Many state regulators are more supportive than NASAA executives recognizing that economic need should trump small-minded politics. No one wants to remove NASAAs ability to enforce anti-fraud laws. But creating an ecosystem where issuers must kiss the ring and pay the toll of 50 states just doesnt make sense.
While there may never be clearcut unanimity on what must be done to improve the Reg CF exemption, many industry participants believe McHenrys first Fix Crowdfunding Act covered most all of the bases. Still, crowdfunding platforms continue to use the exemption with a certain amount of success. In nearly a year, almost $24 million has been raised to support entrepreneurial firms. But still more could be done as that is just a drop in the bucket.
Speaking with Kendrick Nguyen, co-founder and CEO of Republic, a mission driven crowdfunding platform that did not participate in the NASAA/SEC gathering, Nguyen believes that education and broad based information is mainly to blame;
I am not certain the concerns about the industry traction should be blamed on the SEC. Much of it is about investor education. This is something that can be simple and effective but people are unaware of it.
That being said, Nguyen acknowledges that simple improvements could easily be made to boost SME utilization;
The $1 million cap is not worth it for tech companies. $5 million would be nice. Accounting requirements and the ongoing reporting is the toughest thing for us. Companies that are most attractive to investors do not want to share their financials.
So where do we go now?
There is a Congressional push to help SMEs gain better access to capital but hurdles remain. Most elected officials have never started a company nor had to make payroll so there is a formative gap as to what it really takes. Special interest groups continue to pound the drum of investor protection to buttress their own opinions minus any actual data proving out pure speculation. While solutions to improving the crowdfunding ecosystem may seem simple to small business advocates, in our nations capital, political reality just delivers more regulatory challenges.

ContraFect's lead compound, CF-301 is a first-in-class lysin which has demonstrated a rapid and potent ability to kill Staphylococcus aureus (Staph aureus) bacteria in vitro and in animal studies. In a visit with Katie Couric for Courics podcast on Thursday, Garten opened up about her decision not to have children with her husband Jeffrey.
We decided not to have children, she told Couric. I really appreciate that other people do, and we will always have friends that have children that we are close to, but it was a choice I made very early. I really felt I feel that I would have never been able to have the life Ive had. So its a choice and that was the choice I made.

Ted Nugent: Trump discussed how political correctness ‘has wrecked everything it has touched’ – The Hill (blog)

Ted Nugent and President Trump discussed how "political correctness has wrecked everything it has touched" during a dinner at the White House, the musician said.
In a blog post for "Deer & Deer Hunting," Nugent praised Trump as an everyman committed to fighting "status quo political correctness" and "power abusing bureaucrats" who oppose hunting regulations.
"We discussed various quality of life issues and how entrenched status quo political correctness has wrecked everything it has touched and how his administration is focused and dedicated to get back to the U.S. Constitutional basics of government of, by and for the people," Nugent wrote.
Nugent, a vocal opponent of gun control and hunting regulations, backed Trump early on in his 2016 presidential bid.
After his dinner Wednesday night with the president, which included former Alaska Gov. Sarah Palin and musician Kid Rock, Nugent wrote that he believes Trump is on the right track, lauding his "America First" policies and his proposals to slash environmental regulations.
"When his administrations battlecry[sic] is 'America first' you know we are on the right track after a long and embarrassing disconnect by the political posers who forgot they worked for us instead of vice versa," he wrote.
On the campaign trail, Trump railed against what he deemed out-of-control political correctness and assailed federal environmental rules and laws, accusing such measures of eliminating jobs.

The United States culture wars take center stage when Louisiana Techs department of history continues its annual International Affairs Speaker Series at 11:30 a.m. April 21 in Wyly Tower Auditorium.
Dr. Lora Burnett, a historian from the University of Texas at Dallas, will deliver a lecture, Toward a Correct History of Political Correctness.'
The event is free and open to the public.
Burnetts talk will draw upon her research and writing on the culture wars in the United States since the 1960s. As an intellectual historian, Burnett has explored clashes on college campuses over a range of issues from free speech to trigger warnings to the design of history curriculum. Her forthcoming book, Canon Wars: The 1980s Western Civ Debates at Stanford and the Triumph of Neoliberalism in Higher Education, brings a critical historians eye to a conflict Burnett witnessed firsthand as an undergraduate at Stanford University.
We are excited to have Dr. Burnett provide our students with a historical perspective on issues deeply important to them, said Andrew C. McKevitt, an assistant professor of history and coordinator of the International Affairs series. Students are often curious in class to talk about controversial topics like safe spaces and trigger warnings, but they fail to recognize that these are not inventions of their own generation but rather linked to larger debates going back decades about political correctness on college campuses.
Burnett received the Ph.D. from the University of Texas at Dallas, where she serves as the 2017-2018 Teaching Fellow in History. She has a B.A. in English from Stanford University. She is an active contributor to the U.S. Intellectual History Blog, a vibrant website that has been at the center of the revitalization of the study of the intellectual history of the United States.

Student government again rejects political correctness, votes to keep Aztec mascot
The decision was a close one last evening, but the Associated Students University Council at San Diego State University opted to keep the Aztec mascot and name for the school.
The Daily, er, Aztec reports the vote was 14-12.
The four voting members of the A.S. executive board voted to retain the Aztec, as did College of Business Representative Ben Delbick who noted the reasons for his vote were primarily economic: it would become necessary to replace millions of dollars worth of Aztec-branded equipment and merchandise.
He also was concerned about alumni possibly withholding donations.
SDSU lecturerOzzie Monge, who wanted to get rid of the mascot, noted the vote this time around was much better thantwo and a half years ago when itwas a lopsided25to 1.
Two months ago, the schools Native American Student Alliance held an event Why Do You Have To Make It About Race? Because Our Mascot Is An Aztec to enlighten people as to why the mascot is racist.

[Monge] compared the failed mascot resolution to a resolution condemning anti-Semitism, which the University Council approved April 12.
Its disappointing to see that theres some inconsistency in who gets valued, and whose rights get valued, Monge said. But thats not surprising because were dealing with something that has been commonly believed in for so long, without question.
He compared the resolution vote to asking white southerners for a referendum on ending Jim Crow laws in the 1960s. Such a referendum would likely have failed, but that would not have made the decision just, he said.
Thats why the talk of majorities and numbers is wrong, Monge said. The debate should have been principles and values. And none of that came up.

He said he will continue his opposition to the use of the Aztec mascot.
Ill still be here, he said. Ill still be educating. Well do it again.
Following the A.S. University Councils decision, 10 A.S. members resigned from their positions.
A.S. members Gass Hersi, Samantha Ledesma, Asha Abdirahim, Ozair Purmul, Chloe Sension, Mustafa Alemi, Halima Eid, Brie Hornig, Farris Nabulsi, and Arnelle Sambile stepped down from their positions immediately after the vote.
Alemi said he resigned because he does not believe A.S. supports students of color the way it supports other students.
I want people to just own it, he said. Just say you dont want to change the mascot, (you) dont give a damn if its racist. Dont try and cloud it as if theyre making some moral decision or some ethical decision.
Before the previous (25-1) mascot vote in late 2014, SDSUspokesperson Natalia Elko had said the school mascot accurately portrays Aztec culture and history.
Nearly 10,000 students voted, setting a new SDSU record for a student referendum and endorsing the proposed mascot by more than a 3:1 ratio, according to the universitys website. More than 4,700 Alumni Association and Aztec Athletic Foundation members voted in their referendum, with more than 88 percent of voters backing the mascot.

Political correctness and blurring of the truth – Canada Free Press

Here we go again with the Political correctness and blurring of the truth. A person with the last name of Muhammed, shot 3 people in Fresno California. He was reportedly heard to shout Allahu Akbar. But will we label this terrorism. Nope, its a hate crime. Obviously, killing 3 white people because you hate white people represents hate. It also appears to represent Islamic extremism thus terrorism.
Does the media or law enforcement think the public is fooled because they call it a hate crime rather than terrorism. News flash-we arent. Killing people is both hate and terrorism. And, guess what, places like Chicago are terrorized by gangs. Many of those killings are terrorists acts, just different terrorists.
We need to wipe out lawlessness in this country before we are all the way back to the days of the wild west. Secure our borders, enforce our laws, put people to work, fix our ghettos, and lift up the downtrodden. Until we make the necessary social changes crimes like these will continue, regardless of the label.
